1. GENERAL INFORMATION
Forminit is a headless form backend that enables you to collect form submissions, receive email notifications, and integrate your forms with your preferred apps. These Terms and Conditions ("Terms") govern your access to and use of the Forminit website and services available at https://forminit.com (the "Service", "Forminit"), operated by UXPLUS LTD ("we", "us", or "our"), a limited company registered in England and Wales with its registered office at 86–90 Paul Street, 3rd Floor, London, England, EC2A 4NE, and company number 11357429.
These General Terms and Conditions outline the rules for using Forminit. By signing up for Forminit, you ("User") agree to be bound by these General Terms and Conditions, along with any additional Special Terms that may apply.
If you do not agree to any part of these General Terms and Conditions or any applicable Special Terms, you are not permitted to use or continue using Forminit in any way.
2. DEFINITIONS
In these General Terms and Conditions, all capitalised terms have the meanings given in Annex 1 (Definitions) or, where applicable, in the Article or Clause in which they are defined.
3. USE OF FORMINIT
When using Forminit, you agree to:
- 1. Comply with law. Follow all applicable laws, regulations, decrees, orders and decisions of federal, regional, local or international authorities, including (without limitation) those relating to the protection of Personal Data.
- 2. Avoid manipulation. Do not tamper with, distort or otherwise manipulate any information, nor use any deceptive or abusive technique.
- 3. Respect rights and safety. Do not transmit or upload any data, messages or documents that: infringe the rights (including moral rights or Intellectual Property Rights) of Third Parties; are harmful, defamatory, unlawful, violent, obscene, degrading, or invasive of a Third Party's privacy; you are prohibited from using or possessing under law or contract; contain viruses, malware, or instructions capable of damaging Forminit or the services provided via the service.
- 4. Access requirements. You must have a stable internet connection and are solely responsible for obtaining and maintaining the necessary telecommunications and computer equipment to access the service.
- 5. Security and data input. You share responsibility for using the service securely and confidentially. You are solely responsible for the accuracy, legality and content of the data you choose to input into the service.
- 6. Limitation of liability. Forminit will not be liable for any loss or damage arising from your failure to comply with the above requirements.
4. ACCOUNTS
When you create an account, you must provide a valid email address and other information that is accurate, complete and up to date. Failure to do so constitutes a breach of these Terms and may result in immediate termination of your account.
By using the Site and Service, you agree that:
- You are 13 years of age or older.
- You are a human; accounts registered by bots or other automated methods are not permitted and will be deleted.
- You are responsible for safeguarding your password and for all activity carried out under your account, whether via our Service or a third-party integration. Forminit is not liable for loss or damage arising from your failure to meet this security obligation.
- You are responsible for all content posted and all actions taken under your account.
- You may not create or own more than one free account.
- You must not disclose your password to any third party and must notify us immediately if you become aware of any security breach or unauthorised use of your account.
- You must not use the Service for any illegal or unauthorised purpose, and you must comply with all applicable laws in your jurisdiction (including, without limitation, copyright laws).
Account contested by 2 or more parties
If two or more parties dispute ownership of an account, Forminit will determine ownership as follows:
- Paid (Premium) accounts: Ownership will be granted to the party who made the most recent payment for the account, unless conclusive evidence shows otherwise.
- Free accounts: Ownership will be granted to the party who originally created the account, unless conclusive evidence shows otherwise.
5. API CALLS AND COMPLIANCE
- 1. Forminit may, at its sole discretion, issue API keys and set limits on the number or rate of API calls (for example, to protect service stability).
- 2. If you exceed any applicable limits, Forminit may throttle your requests or suspend your access to the APIs.
- 3. You agree to comply with all limits and must not attempt to bypass, interfere with, or circumvent any technical or contractual restrictions.
- 4. Forminit may immediately suspend or terminate your access to developer services and/or APIs, without notice, if it believes you are in breach of these Terms or the Agreement.
- 5. Your continued use of the APIs is conditional on adherence to all applicable laws, these Terms, and any API documentation or usage policies we publish.
6. PAYMENT, INVOICING TERMS
- 1. We may charge fees for our Services. You must pay the applicable fees (and any other sums due) as set out in the specific terms of the plan you select (PRO, BUSINESS, or VOLUME).
- 2. All paid plans require a valid credit card. Free accounts do not. Upgrading from a free plan to any paid plan will result in immediate billing.
- 3. All fees are exclusive of taxes, levies and duties imposed by taxing authorities. You are responsible for all such amounts, excluding only taxes payable by Forminit on its own income.
- 4. If you change your plan, the credit card you provided will be charged the new rate automatically on your next billing cycle. Downgrading may result in the loss of content, features or account capacity. Forminit accepts no liability for any such loss.
7. REFUNDS TERMS
You can cancel at any time via the Forminit dashboard. You will retain access to Pro, Business or Volume features until the end of your current billing period. The Service is billed monthly in advance and all charges are non-refundable.
No refunds or credits are provided for:
- Partial months of service.
- Change of mind after purchase.
- Upgrades or downgrades (plan changes do not entitle you to any refund or credit).
- Unused time while your account remains open.
8. CANCELLATION OR TERMINATION
You can cancel your account at any time via Forminit's dashboard. After cancellation, you may still be able to access certain public or limited areas of the Service, but account-holder features and content will no longer be available.
Forminit may suspend or terminate your access to the Site and/or Services, with or without cause, at any time. Your obligation to pay any charges and fees accrued up to the effective date of termination survives termination. On expiry of the subscription term or upon termination (however caused), your subscription plan will end immediately. You may continue to use the free version of the Service thereafter.
9. COPYRIGHT AND INTELLECTUAL PROPERTY RIGHT
We do not claim ownership of the material or information you submit to Forminit. Your profile and any materials you upload remain your property.
The overall design, user interface and presentation of the Service are © Forminit (2015–present). All rights reserved. "Forminit" and associated names, logos and brand elements are trademarks of Forminit. They must not be used without our prior written permission.
The Products and Services and all content included on our interfaces or delivered to members are the property of Forminit and/or its licensors. This includes, without limitation, source code (HTML/CSS, JavaScript), software, data compilations, visual design elements and concepts.
Such materials are protected by international copyright, trade secret and other intellectual property laws and treaties. All rights not expressly granted are reserved.
These Content Standards apply to all material you contribute to our Site ("Contributions") and to any associated Services. You must comply with both the spirit and the letter of these Standards. They apply to every part of a Contribution as well as to the whole.
Contributions must:
- Be accurate where they state facts.
- Be genuinely held where they state opinions.
- Comply with applicable law in the country from which they are posted.
Contributions must not:
- Contain defamatory material.
- Contain material that is obscene, offensive, hateful, or inflammatory.
- Promote sexually explicit content, violence, abuse, discrimination (including on the basis of race, sex, religion, nationality, disability, sexual orientation, or age), or any illegal activity.
- Infringe any copyright, design right, database right, trade mark, patent, or other intellectual property right.
- Be misleading, inaccurate, fraudulent, or likely to deceive any person.
- Be made in breach of a legal duty owed to a third party (e.g. contractual duty or duty of confidence).
- Be threatening, abusive, invasive of another's privacy, or cause annoyance, inconvenience, or needless anxiety.
- Be likely to harass, upset, embarrass, alarm, or annoy any other person.
- Be used to impersonate any person or misrepresent your identity or affiliation.
Bandwidth usage
If your bandwidth usage exceeds 500 MB per month, or significantly exceeds average usage (as determined by us in our sole discretion), we may throttle your hosting or disable your account until usage is reduced.
10. SUPPORT, CHANGES AND UPDATES
- 1. Forminit provides a support service to assist users with technical issues, available in English via channels such as chat and email. Response times are reasonable and proportionate to the severity and impact of the issue.
- 2. Please report support requests or complaints promptly after the issue arises. You must provide all relevant information to enable a thorough investigation and an appropriate response. Any adverse consequences caused by delayed reporting are the user's responsibility.
- 3. Forminit will use reasonable efforts to keep the service continuously available. "Availability" means the period during which the service can be used normally; "downtime" means it is not available.
- 4. We may temporarily suspend the service to fix faults or perform maintenance. We will give advance notice of planned maintenance and aim to schedule it outside normal working hours. Periods of unavailability due to events beyond our control (including Force Majeure) are not counted as downtime.
- 5. We may provide regular updates to improve, enhance and develop the service (e.g. bug fixes, improved functions, new modules, or new versions). Users will be notified of updates via Forminit or the website. Continued use after an update constitutes acceptance of that update.
- 6. Forminit may amend these General Terms and Conditions and/or any Special Terms and Conditions at any time, at its sole discretion and without liability to you. Users will receive prior notice of changes via the service. Continued use of Forminit after the effective date signifies acceptance of the revised terms. If you do not agree with the changes, you may terminate your account and must stop using the service immediately.
- 7. We recommend reviewing these terms periodically to ensure you remain compliant with the latest versions. Any changes, additions or amendments to our Privacy Policy will be communicated separately in accordance with the Privacy Policy.
11. REPORTING MISUSE OF FORMINIT
If you notice any misuse or abuse of Forminit on any website or platform, please report it via our Contact page or email info@forminit.com.
- We may remove content from the Service, but we are not obliged to do so.
- Where users engage in misconduct, we may limit, suspend or delete their accounts and, if necessary, take legal action.
12. DISCLAIMER
The materials on the Forminit site and Services are provided "as is". Your use of the site and Services is at your own risk. To the fullest extent permitted by law, Forminit and its officers, directors, employees and agents disclaim all warranties, whether express or implied, in relation to the Service and your use of it.
Forminit does not warrant or represent that the content on this site or on any site linked from it is accurate or complete. Without limiting the generality of the foregoing, Forminit accepts no liability for:
- Errors or inaccuracies in any content;
- Personal injury or property damage arising from your access to or use of the Service;
- Unauthorised access to or use of our secure servers and/or any personal or financial information stored on them;
- Interruptions, failures or cessations of transmission to or from the Service;
- Bugs, viruses, or similar that may be transmitted via the Service by any third party;
- Errors or omissions in any content, or any loss or damage incurred as a result of using any content posted, emailed, transmitted or otherwise made available via the Service.
Forminit does not warrant, endorse, guarantee or assume responsibility for any product or service advertised or offered by a third party through the Service, any hyperlinked service, or any banner or other advertising. Forminit is not a party to, and is not responsible for monitoring, any transaction between you and third-party providers of products or services. As with any purchase made in any medium or environment, you should exercise your best judgement and appropriate caution.
By using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.
Annex 1: Definitions
Account: Refers to the personal or organisational account created by the User to access and use Forminit.
Agreement: Refers to the binding contract between the User and Forminit (UXPLUS LTD - the company behind Forminit) regarding the use of the service, governed by these General Terms and Conditions and any applicable Special Terms.
Company: Refers to the business or organisation represented by a Professional User when using the service.
Content: Refers to all forms, responses, messages, data, files, or other materials submitted, generated, or processed through the service by the User.
Forminit: Refers to the backend form processing service developed and operated by UXPLUS LTD, accessible at https://forminit.com.
General Terms and Conditions: Refers to the main terms governing the use of Forminit by any User.
Subscription Fee: Refers to the subscription fee paid by the User to access paid features of the service (e.g. Pro, Business or Volume plans).
Personal Data: Refers to any information relating to an identified or identifiable natural person, as defined under applicable data protection laws, including the GDPR.
Professional User: Refers to a User using Forminit on behalf of or in relation to a Company or organisation, including employees, contractors, or agents.
Special Terms: Refers to any additional or specific conditions agreed between the User and Forminit that supplement or override parts of the General Terms and Conditions.
Subscription Plan: Refers to the selected pricing tier (e.g. Pro, Business, or Volume) that determines the scope of access and usage rights the User has within Forminit.
User or you: Refers to the individual or entity who registers for or uses Forminit, either personally or on behalf of a Company.
Please read these Terms carefully before using Forminit. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to all of the Terms, you may not access or use the Service.
In our Privacy Policy, "Personal Data" means any information that can identify you, either directly or indirectly, as a user of the service. Forminit processes Personal Data in line with current laws, including the UK GDPR, the GDPR - the EU regulation that protects your personal data and privacy.
